Terms of Service
1. Scope and Contracting Party
These Terms of Service apply to all users of the Menu Mage platform, accessible at menumage.com and related domains and subdomains (including menumage.de). The service is provided by IMOS Print UG (haftungsbeschränkt), Wilhelmshavener Heerstr. 63, 26125 Oldenburg (hereinafter "Menu Mage", "we" or "us"). These Terms of Service apply exclusively in the B2B sector. Menu Mage is aimed at entrepreneurs within the meaning of § 14 BGB, i.e., natural or legal persons who act in the exercise of a commercial or independent professional activity upon registration – in particular operators of restaurants, cafés, bars, hotels, and comparable gastronomic establishments.
2. Description of Services
Menu Mage is a cloud-based SaaS platform that provides gastronomy businesses with tools for creating, managing, and publishing digital and printed menus. The range of services includes, among others:
- Management of restaurants, categories, and items (food and beverages)
- Maintenance of allergen and dietary information as well as multilingual content (German/English)
- Generation of product images using artificial intelligence (OpenAI)
- PDF parsing of existing menus for structured data import
- Automated creation of print-ready PDF menus in multiple template designs
- Publication of online menus under individual URLs for guests
- Generation of QR codes (PNG, SVG, PDF) for linking online menus
- Anonymous statistics dashboard for views of published menus
We reserve the right to expand, modify, or adjust the scope of services and individual functions at any time without notice, provided this does not impair essential contractual obligations. There is no entitlement to unavailable features or features still under development (e.g., marked as "Coming Soon").
3. Registration and User Account
Use of the platform requires registration. Registration can be done via email/password or via the "Sign in with Google" service. The user is obligated to provide truthful and complete information during registration and to keep it up to date. Only one main account per company is permitted; additional restaurants can be created under the same account within the booked plan. Login credentials must be kept confidential and protected from access by third parties. The user is liable for all activities carried out under their account.
We reserve the right to suspend or delete accounts if there is suspicion of misuse or violation of these Terms of Service.
4. Plans, Quotas and Payment
Menu Mage is offered in various plans that differ in terms of features and monthly usage limits (including number of menu pages, AI-generated images, manageable restaurants, and QR code availability). Currently, the plans Free, Premium, and Pro are available, each with terms of 1, 6, or 12 months. The current plans, quotas, and prices can be viewed on the pricing page of the platform. All prices are net prices plus applicable VAT; gross prices are additionally indicated.
Paid plans are billed in advance according to the selected term (monthly, semi-annually, or annually) and renew automatically for the original term unless cancelled in time at the end of the period. In the event of default of payment, we reserve the right to restrict or suspend access to the platform.
When exceeding the quotas included in the plan (e.g., additional menu pages, AI images, or restaurants), users can book further quotas individually on a pay-per-use basis. The applicable unit prices are displayed before purchase. Pay-per-use purchases are due immediately.
Payment processing is handled via external payment service providers. A paid period is not refunded pro-rata upon ordinary termination. Pay-per-use purchases are non-refundable.
The VAT shown on invoices depends on the user's place of business:
- Place of business in Germany: 19 % German VAT.
- Place of business in another EU country with a valid VAT identification number: 0 % – Reverse Charge pursuant to Art. 196 EU VAT Directive. VAT must be declared and paid by the recipient in their own country.
- Place of business outside the EU: 0 % German VAT; the place of supply is at the recipient's location (§ 3a para. 2 German VAT Act). Any taxes incurred in the user's country are to be borne and paid by the user.
The user is obliged to provide truthful and complete information about the company, country of residence, and – if available – VAT identification number, both upon registration and in the billing address dialog, and to notify any changes without delay. If it subsequently turns out that this information was incorrect and a higher or additional VAT is therefore owed, the user shall bear the resulting additional costs including any back claims, interest, and penalties.
5. User Obligations
The user is prohibited from:
- using the platform for illegal purposes
- deploying automated bulk queries (scraping, bots) against the platform
- sharing login credentials with third parties or sharing accounts
- reverse engineering or decompiling the platform
- commercially reselling content of the platform (e.g., source code, templates, designs) or providing it to third parties for use without explicit written permission
- circumventing or undermining the security measures of the platform
- storing or publishing illegal, offensive, misleading, defamatory, or third-party rights-infringing content (texts, images, trademarks) on the platform
- misusing the AI image generation, in particular to create content that violates the terms of use of the AI provider being used
The user is solely responsible for the accuracy and completeness of the data entered – in particular for correct price information, allergen and additive labelling, and compliance with food law and commercial regulations (including LMIV, Price Indication Ordinance). We do not carry out any substantive review of the content entered by the user.
6. AI-Generated Content
Menu Mage offers the option of generating images of food and beverages using third-party AI models. The generation initiated by the user is based on the descriptions (prompts) entered by the user. Insofar as the AI provider grants the user rights to the generated images, Menu Mage passes these rights on to the user; no independent licensing beyond the terms of the AI provider takes place.
We do not guarantee that AI-generated images realistically reproduce the actual food or beverages. The user is obligated to check whether the generated content is suitable for use in the respective context (e.g., menu, advertising) and does not infringe any third-party rights.
7. Published Menus and QR Codes
If the user publishes a menu as "public", it will be accessible on the internet under an individual URL (slug) and can be accessed by guests without registration. The user decides whether and when a menu is published or the publication is revoked. Generated QR codes permanently refer to the original slug URL in order to maintain the functionality of printed QR codes even after the menu has been regenerated.
A discreet note "created with Menu Mage" may be displayed on published menus. Removal of this note is only possible within separately agreed white-label options, if offered.
8. Availability
We strive for high availability of the platform but do not guarantee uninterrupted availability. Planned maintenance work will be announced where possible. Outages due to force majeure, third-party server issues (e.g., hosting provider, AI or payment service providers), or circumstances beyond our control do not give rise to claims for reduction or damages.
9. Limitation of Liability
Menu Mage provides tools for creating and publishing menus. We do not guarantee the accuracy, completeness, or legal admissibility of the content entered by the user (e.g., prices, allergen information, additives, descriptions, images). Business decisions and the practical use of the generated PDF or online menus are the sole responsibility of the user.
Our liability is limited to intent and gross negligence. In the event of slightly negligent breach of duty, we shall only be liable insofar as essential contractual obligations (cardinal obligations) are affected, and even then only limited to the typically foreseeable damage. Liability for lost profit, indirect damages, or consequential damages is excluded to the extent permitted by law. The aforementioned limitations of liability do not apply in the event of injury to life, body, or health, or claims under the German Product Liability Act.
10. Intellectual Property
All content on the platform – including design, menu templates, texts, logos, and software code – is protected by copyright and is the property of IMOS Print UG or licensed third parties. The user is granted a simple, non-transferable right of use for the duration of the contract. All rights to content uploaded by the user (e.g., logos, cover images, item texts) and to the PDF and online menus generated via Menu Mage remain with the user. However, the user grants us a simple right of use insofar as this is necessary to provide the service (e.g., storage, delivery, display in the browser).
11. Term and Termination
The user agreement runs for an indefinite period and can be terminated by the user at any time at the end of the respective billing period. Termination can be effected via the account settings of the platform or by email to info@imos-print.de. We reserve the right to terminate the contract without notice for good cause, in particular in the event of serious violations of these Terms of Service. A pro-rata refund of fees already paid upon ordinary termination is excluded.
After the contract ends, data of the user account is initially retained as part of a grace period and then deleted. Statutory retention obligations for invoices and accounting data (in particular § 147 AO, up to 10 years) remain unaffected.
12. Changes to the Terms of Service
We reserve the right to amend these Terms of Service with reasonable notice. Users will be informed of material changes by email or by a clear notice on the platform. If the user does not object to the amended terms within four weeks of receiving the notification, the new terms shall be deemed accepted. The right to object and the significance of the deadline will be expressly pointed out in the notification.
13. Governing Law and Jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes arising from or in connection with this agreement is Oldenburg, provided the user is a merchant, a legal entity under public law, or a special fund under public law.
14. Severability Clause
Should individual provisions of these Terms of Service be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid or unenforceable provision shall be replaced by an effective provision that comes as close as possible to the economic purpose of the invalid provision.
